Sicomi Founding Creator Preview Agreement
Version 0.7 · Effective [EFFECTIVE DATE] · Last updated 2026-10-31
Free preview. No charges and no payouts during the preview. We will never charge you without asking first and getting your express consent.
This agreement is between you, the creator ("you"), and 1984 Management Company Inc., doing business as Sicomi ("Sicomi", "we", "us"). Sicomi is a business name that 1984 Management Company Inc., a California corporation, uses for this service. It applies when you apply to, join or publish in the Sicomi founding preview (the "Preview"). You apply at app.sicomi.com/apply, and your account and Studio are on app.sicomi.com. Our Community and Content Rules, Privacy Policy and DMCA Policy are part of this agreement.
The short version. You own your work. We get a narrow, non-exclusive permission to host it, show it to invited viewers and promote it, which ends when you remove it. Nobody pays anybody during the Preview. A person reviews your application and every episode before it goes live. You tell us honestly how you used AI and what rating fits. You can leave at any time. Once public creator pages open, your profile can be seen by anyone and found in search engines, unless you turn search off in Studio.
1. The Preview
1.1 The Preview is a free, invite-only early version of Sicomi for a small group of founding creators and the adult viewers they and we invite. It runs until we start paid features (Phase B) or end the Preview. Features may change, break or stop. We will tell you by email before the Preview ends.
1.2 No money moves. During the Preview:
- we do not charge you anything;
- viewers are not charged to watch your work;
- we do not pay you, and you do not earn revenue, credits or balances that become payable later; and
- we do not collect card or bank details from you.
1.3 Planned pricing is not part of this agreement. We plan to offer paid features later. Any pricing we have described is planned, not final, and will be offered in a separate agreement that you can accept or decline. Nothing in this agreement, in our emails or on our sites promises you any rate, fee level, tier or price, now or in the future.
2. Who can take part
2.1 You must be 18 or older, live in the United States, and have authority to enter this agreement. We check your age from the date of birth you enter when you apply; we keep only the result, not your date of birth. If you sign for a studio or team, you confirm you are authorised to bind it, and "you" includes it.
2.2 You must give us true information and keep your contact details current.
2.3 Turn on two-step sign-in (MFA) for your Sicomi account when we offer it, and keep your sign-in details private. We sign you in with a one-time link sent to your email (you may also have a password if you set one before we moved to links). Anyone who can open that email can sign in, so keep your inbox private. We never ask you for your password by email or on a call.
3. Applying and vetting
3.1 Applying does not mean you will be accepted. We are admitting a small number of creators (currently up to 25). You are accepted only when we tell you so in writing after the steps in section 3.2 are done. A message that says we would love to have you, thanks you, or invites you to take the next steps is not an acceptance. Until we accept you, you have no place in the Preview, no Studio access and no right to publish.
3.2 A person decides every application. After you send your application, and before we accept you, two things must happen:
- (a) Proof that you control the accounts and sites you list. You can give it in any one of these ways: one-click sign-in with that service, where we offer it (we ask only for read-only access, and we do not keep the sign-in token); posting a short SICOMI- code we give you where we can see it; or a live check during the call in 3.2(b) (for example, adding a one-time word we give you to a public field on your account, which we then look for from outside your account). We may also confirm your identity from an account we contacted. We never ask for your password, a two-step sign-in code, a government ID or any payment details.
- (b) A quick hello. Either a short video call with the founder (about 15 minutes), booked on our booking page, which runs on Google Calendar and receives your name, email and the time you choose; or, where we offer it and your proof in (a) is done by sign-in or code, a short intro you send us instead: a video or voice note of up to 3 minutes. We may still ask for a call if something in the application or the intro needs one. Whichever you choose, it is for vetting only (see 3.4).
We do not record calls, and we do not take screenshots or screen captures of them. If you need a written alternative to the call or the intro (for example, because you are deaf or have a speech disability), ask at creators@sicomi.com and we will arrange one.
3.3 We will tell you our decision and the main reason. If we decline, you may ask once, within 30 days, for us to look again. Section 9.4 explains how appeals are decided. You may withdraw your application at any time by writing to creators@sicomi.com.
3.4 Your intro (if you send one). It is private. Only the founder can open it. We use it only to decide your application: a person watches or listens to it in full. We do not publish it, use it in marketing, run it through any tool that analyses or transcribes it, or create face or voice prints from it. The only automated check is the child-safety hash-matching in section 8.2, which runs before anyone opens the file. We delete the recording within 30 days after we decide your application or you withdraw, whichever comes first, and keep only a note that the intro was reviewed, the date and our decision. The exception is where the law or section 8.2 requires us to keep it. Your intro is not Your Content under section 4 and is separate from the introduction video you may add to your profile later.
3.5 How we look at your links. We read the public details of the accounts and sites you link (for example, titles, descriptions and public videos) to review your application and check your ownership. We do not read private videos, messages or passwords. The Privacy Policy says what we keep and for how long.
3.6 If you are under 18. The Preview is for adults. If your date of birth shows you are under 18, we stop the application and keep nothing you entered. If we learn at any later step that you are under 18, we close your application, delete what you gave us within 30 days and keep only a note that the application was closed for age, without a date of birth.
3.7 If we have not heard from you. If you have not finished the steps in 3.2 within 14 days of our asking, we may mark your application "waiting on you". This is not a decline. You can pick it up again within 90 days by completing the steps; after that we may close it and delete what you gave us under our Privacy Policy.
4. You own your work
4.1 You keep all rights, title and interest in everything you upload: your titles, episodes, trailers, posters, characters, scripts, music you own, your introduction video, your Extras (behind-the-scenes, making-of and similar videos about you and your work), your "My story" text and other material ("Your Content").
4.1A Your profile. Everything you add to your creator profile in Studio is also Your Content. That includes your bio, filmography and credits (including credits for work that is not on Sicomi), collaborator credits, festival selections and awards, press quotes, tools and process notes ("Craft"), profile images and the links in your Elsewhere row (together, "Your Profile"). Labels Sicomi adds (such as "Self-reported", "Verified" or "Not on Sicomi") are Sicomi's, not yours.
4.2 Sicomi takes no ownership, no option, no right of first refusal or first negotiation, and no share of any rights in Your Content. You are free to publish Your Content anywhere else, at any time.
5. The permission you give us
5.1 You give Sicomi a non-exclusive, worldwide (limited to where the Preview is offered), royalty-free licence, for as long as Your Content is in the Preview plus the wind-down period in section 5.4, to:
- (a) store, host, encode and make technical copies of Your Content to run the Preview;
- (b) stream it to signed-in viewers who have been invited to the Preview, and show it to you and to reviewers;
- (c) make thumbnails, posters, stills, previews and trailers from it (up to 60 seconds per trailer or clip), and show your name, likeness you have provided (including any AI-generated likeness or voice of you that you upload), logo and bio with it;
- (d) use those promotional items to promote Your Content, you and the Preview on Sicomi's websites, emails, and Sicomi's own social media accounts, except that your introduction video and Extras are shared off Sicomi only under section 5.3A; and
- (e) when Studio offers introduction videos and Extras, show each one on Sicomi to the audience you choose for it in Studio: an item you set as free, to anyone who can see your creator or title page, including visitors who are not signed in once Sicomi opens public creator pages; an item you set as subscribers-only, only to viewers who have access to your work; and
- (f) once Sicomi opens public creator pages, show Your Profile on Sicomi to anyone, including visitors who are not signed in, and, unless you turn off "Show my profile in search engines" in Studio, let search engines crawl and index it, show snippets and previews of it, and read structured data that Sicomi makes from it under section 7B. Letting search engines do this is not a sublicence under 5.2. If you turn the setting off, or remove an item, we stop showing it (or mark the page
noindex), remove it from our sitemap and ask search engines to drop it within 7 days, but we can't control copies that search engines keep for a time.
5.2 What we will not do. We will not:
- sublicense Your Content to anyone except service providers who process it only for us (such as hosting, storage, video delivery and child-safety scanning), under confidentiality and security terms;
- sell, rent or license Your Content to any other platform, broadcaster or buyer;
- use Your Content, or let anyone use it, to train, fine-tune or test any AI model, except automated safety and rights scanning of your own uploads described in the Community and Content Rules; or
- edit Your Content itself, other than technical changes (format, resolution, compression), adding the labels and ratings described in this agreement, or cutting promotional clips under 5.1(c), and adding a visible AI label to any copy shared under 5.3A.
5.3 Promotion opt-out. You can turn off social-media promotion for any title in Studio or by emailing creators@sicomi.com. We will stop new posts within 7 days.
5.3A Sharing your introduction and Extras (opt-in). Your introduction video and your Extras show on Sicomi under 5.1(e). Sicomi will post an introduction or an Extra, or a clip of either, on Sicomi's own social media accounts, websites outside Sicomi's app or emails only if you turn on "Let Sicomi share this" for that item in Studio. It is off until you turn it on.
- We never share a subscribers-only Extra in full.
- If the item is labelled AI-generated or Mixed, every shared copy keeps a visible AI label, and we switch on the social platform's own AI label where it has one.
- You can turn sharing off at any time in Studio or by emailing creators@sicomi.com. We stop new posts within 7 days and delete earlier posts on request where the platform allows.
- Sicomi will not use your introduction, your Extras, your likeness or your voice in paid advertising, boosted posts or anything given to third parties (press, partners, festivals) without a separate written agreement with you.
5.4 When the licence ends. If you remove a title, an introduction video, an Extra or an item in Your Profile, or this agreement ends, we will stop showing it within 30 days (usually much faster). After that we may keep:
- promotional posts already published on social media before your removal request, which we will delete on request where the platform allows;
- copies in backups until they are overwritten in the normal cycle, not used for any other purpose; and
- records we must keep by law or for a safety, copyright or legal matter (for example a report to the National Center for Missing & Exploited Children, which we must preserve for one year).
6. Your promises about Your Content
For each title and each upload, you promise that:
6.1 You own Your Content or have every right, licence and consent needed for us to use it as this agreement allows, including for music, sound effects, fonts, footage, characters, artwork, AI tools' outputs and any third-party material.
6.2 Any real, identifiable person depicted, imitated or voiced in Your Content (including by AI) has given written consent, and you will give us that consent on request. Our template is the Real-Person Consent and Release.
6.3 Your Content contains no real person under 18, including their likeness or voice, unless you have a signed release from their parent or guardian, and never in any sexual, nude or sexualised context.
6.4 Your Content contains no sexually explicit content, no child sexual abuse material in any form (including drawn, animated or AI-generated), and nothing else that breaks the Community and Content Rules or the law.
6.5 The AI disclosure and rating you give are true and complete (section 7).
6.6 You are 18 or older.
6.7 Your introduction video, Extras and "My story" text also meet the promises in section 7A.
6.8 Your profile is true. For everything in Your Profile, you promise that:
- (a) Credits. Every credit and role is true and states what you actually did. For work owned by someone else (for example a studio job or work for hire), you give your actual role and don't suggest you own it or that it is on Sicomi.
- (b) Festivals and awards. You list a selection or award only if it happened, with the festival, category and year. You say "Official Selection" only for an actual selection (not a submission, a pay-to-enter listing or a "semi-finalist" notice) and "Winner" only for an actual award. You don't upload laurel artwork, festival logos or award statuette images until Sicomi allows them, and then only under that festival's own rules. You won't describe an item Sicomi marks "Self-reported" as verified by Sicomi or endorsed by the festival, anywhere.
- (c) Press quotes. Each quote is word for word from published coverage, up to 40 words, with the outlet, date and a working link to it; any ellipsis doesn't change the meaning. You didn't pay for the coverage, get it in exchange for anything tied to a positive review, or write it yourself or with AI, and you say so if the reviewer is connected to you (for example a friend, crew member or investor).
- (d) Other people. You name other people only as they appear in the work's public credits or as they asked to be credited. You don't add anyone's photo, link or contact details. A link to another person's Sicomi page appears only after they accept your tag. You don't name or credit anyone under 18 except by stage name or first name with a parent or guardian's permission, and you never tag, link or picture them. You don't add anyone's private information (legal name if they work under another name, address, phone, email or school).
- (e) AI performers and real people. You credit an AI-generated performer as a character, never as a real person or an "actor". If a credit names a real person whose voice or likeness was used in the work, you hold the release section 6.2 requires.
- (f) Images and links. You own or have permission to show every profile image, and you don't upload posters, stills or trailers of work that is not on Sicomi unless Sicomi allows it and you own that work outright. Your Elsewhere links point to accounts and sites you control and follow section 7B.
- (g) Keeping it current. You correct or remove an item within 7 days of learning it is wrong.
7. AI disclosure and ratings at every submission
7.1 Each time you choose Submit for review, you will confirm, in separate unticked boxes:
- that you have the rights described in section 6;
- your AI disclosure for that title: which AI tools you used and for what, and whether it includes synthetic people, voices or likenesses of real people; and
- your age rating for each episode.
7.2 If you make a material change (a new cut, new audio, new poster, a dub, a new episode), you will confirm all three again.
7.3 We show an AI label and the rating on the title page. During the Preview the highest rating we publish is 16+. Work that needs 18+ can stay as a private draft until paid features launch.
7.4 If our reviewers think a rating or label is wrong, we may ask you to change it before publishing, or correct it and tell you why.
7A. Introductions, Extras and your story
This section applies when Studio offers introduction videos ("Meet the maker") and Extras. An introduction is optional.
7A.1 Honest intro label. Before you submit an introduction, you pick one label, with none picked for you:
- Real footage: filmed with a camera. Cuts, colour, captions, music, noise cleanup and auto-captions are fine. Any AI change to your face, body, voice or lip movement (including AI dubbing or lip-sync), or any AI-generated scene, means it is not Real footage.
- AI-generated introduction: mostly or wholly made with AI.
- Mixed: part filmed, part made with AI.
You confirm, in an unticked box each time you upload or change an introduction or an Extra, that the label is accurate, that anyone else who appears or is heard has given you written permission you can show us, and, for an introduction, that no one under 18 appears. We record the version and time of that confirmation.
7A.2 Who AI may show. AI in your introduction may show only (a) an AI version of you, made from your own face or voice, or (b) an AI presenter that is clearly stylised or non-human, does not look or sound like any real person, and is labelled as an AI presenter. You will not present an AI-made person as yourself if it is not made from you, or as a real team member, collaborator, fan or reviewer, and you will not invent a studio or team that does not exist. A pen name is fine if its introduction is labelled AI-generated and does not claim to be a real person's face.
7A.3 Other people. Anyone identifiable who is featured in an introduction or an Extra (speaks, is interviewed, is the subject of a shot or is named) has signed a release you keep and will show us on request: the Real-Person Consent and Release for any AI likeness or voice of them, or the Appearance Release for a filmed appearance. You will not post recordings of private conversations without the consent of everyone in them, and you will blur recognisable bystanders who did not agree.
7A.4 People under 18. No identifiable person under 18 appears in an introduction, filmed or AI. In an Extra, a real person under 18 may appear only with a signed parent or guardian release, never as the main subject of a subscribers-only Extra, never with their school, town or other locating details, never in an Extra rated above 13+, and never as an AI likeness.
7A.5 No earnings claims. Introductions, Extras and your story will not state or suggest what you or anyone earns or could earn (amounts, "quit my job", "passive income", revenue screenshots), and will not describe Sicomi's fees, payouts or features other than as Sicomi's own pages describe them.
7A.6 Tools and brands. A plain credit ("Made with [tool]") needs no label. If you got anything of value from a tool or brand you show or name (free credits, a creator-program perk, an affiliate code, payment, equity or a job), you say so in the video, spoken and on screen, at or before the mention: "Gifted by [Brand]" or "Paid promotion: [Brand]". The Preview ban on paid sponsorships, paid product placement and affiliate links in section 8.3 applies to introductions and Extras.
7A.7 Ratings. An introduction is rated no higher than 13+. Each Extra gets its own rating like any upload, no higher than the title it belongs to, and carries an AI label and an "Extra" marker.
7A.8 No links or payment asks. Introductions, Extras, your story and the text fields of Your Profile contain no web addresses or QR codes (other than sicomi.com), payment or tip requests, payment handles, promo codes or "message me to buy". Saying your social handle aloud is fine. Links to your social accounts and your own website appear only in the Elsewhere row Studio offers (section 7B).
7A.9 Review and ranking. A person reviews your first introduction before anyone else sees it, and reviews it again if you change its label toward Real footage. Introductions and Extras do not affect rankings, cannot be bought or boosted, carry no ads, and Sicomi charges no fee for them.
7B. Your profile and your links
This section applies when Studio offers the expanded creator profile. Every part of Your Profile is optional.
7B.1 Labels Sicomi sets. Each credit, award, press quote and link shows a level that only Sicomi sets: Verified (Sicomi checked it against a named source on a stated date; it never means Sicomi or the festival endorses your work), Self-reported (you added it and Sicomi hasn't checked it) or Disputed (someone has challenged it; hidden while a person decides). Credits for work that is not on Sicomi are marked "Not on Sicomi" and have no Watch button. You can ask Sicomi to verify an item; Sicomi decides whether and when it can.
7B.2 What Sicomi repeats. Sicomi never repeats a Self-reported item in its own ads, social posts, emails, page titles, search descriptions or structured data. Structured data names you only by the name you chose on Sicomi, lists only Verified awards and only verified links, and never includes your legal name, date of birth, address, email or phone. Sicomi won't use a collaborator's name or image in its own ads without that person's written permission.
7B.3 Your Elsewhere row. You may show up to 5 links to accounts and sites you have shown you control (for example by signing in with that service, posting a short SICOMI- code or adding a tag to your own website), from the list of services Studio offers. You stay free to post and sell your work anywhere (section 4.2); this row only governs which links Sicomi displays. Studio won't display links to payment, tip, donation, fan-funding, crowdfunding or subscription sites, crypto, adult, gambling or unsafe sites, link shorteners, redirects or link-in-bio pages, messaging or group invites, or file and download hosts, and it removes tracking, affiliate and referral codes. Links are direct (no Sicomi redirect) and carry standard search labels (nofollow ugc, and rel="me" on verified accounts). Sicomi counts clicks only as totals per creator. Sicomi re-checks links regularly and may hide a link that stops meeting these rules.
7B.4 Kids. On pages shown in Sicomi's Kids area, Sicomi shows only your name, a short bio checked for Kids and your Kids titles: no Elsewhere row, outbound links, off-platform credits, press or awards.
7B.5 Review. A person reviews your first profile publish before its new sections show (your basic page with your name and Sicomi titles stays up meanwhile), and may review later edits, especially changes to your name, handle, photo or links. Changes to links, name or email made within 7 days of a password, email or two-step sign-in change may be held for up to 24 hours to protect your account.
7B.6 People you name. Anyone named in Your Profile can ask Sicomi to replace their name with their role only, and Sicomi will do so within 7 days. A tagged person can remove the tag at any time. Disputes about who made a work go to Sicomi's credit-dispute review, and an item may be hidden while it is decided. Press outlets and critics can ask for a quote to be checked; Sicomi may hide it while it checks.
7B.7 No ads, no paid placement. During the Preview, profile pages carry no ads or sponsorships, and placement on them can't be bought. Your Profile doesn't change your rankings.
8. Review and the rules
8.1 A person reviews every episode before it goes live. We may decline to publish any upload, with reasons. Unreviewed uploads stay hidden.
8.2 Automated checks run on uploads, including child-safety hash-matching (Microsoft PhotoDNA) against known child sexual abuse material, and rating scans. Apparent child sexual abuse material is blocked, preserved and reported to NCMEC as US federal law requires (section 9.3). A machine never removes a live title or issues a copyright strike on its own; a person makes those decisions. One exception is described in the Community and Content Rules: when re-upload protection is turned on, a near-total copy of verified work may be hidden for up to 24 hours (no strike) while a person checks it, and it is restored if nobody decides in time.
8.3 You will follow the Community and Content Rules. During the Preview, titles, introduction videos and Extras may not contain paid sponsorships, product placement you were paid for, affiliate links or contests.
9. Takedowns, suspension and appeals
9.1 We may hide or remove a title, limit features, or suspend or end your participation if you break this agreement, the rules or the law, if we receive a valid legal notice, or if needed to protect viewers, other creators or Sicomi.
9.2 Reasons. We will tell you what we did, which rule or reason applied, and how to appeal, unless the law forbids it or it would put someone at risk or harm an investigation.
9.3 Emergency removals come first. Suspected child sexual abuse material, intimate images shared without consent, credible threats and court or government orders are removed at once. You can still appeal afterwards, except where the law prevents us from discussing the matter. For apparent child sexual abuse material, we are required by law to report to NCMEC and preserve the material, and the account will be closed.
9.4 Appeal. You may appeal any decision within 30 days by replying to our message. During the Preview the founder decides appeals: the founder looks at the decision again at least 48 hours after it was made and responds within 14 days. Once our updated Privacy Policy is posted, the founder may also get a second opinion from an AI tool; if one is used, we tell you. The AI tool only gives an opinion; a person makes the decision. If we appoint an independent reviewer later, we will update this section and tell you.
9.5 Copyright notices, counter-notices and repeat-infringer strikes follow our DMCA Policy.
10. Founding perks (non-cash)
10.1 While the Preview runs, founding creators accepted into it receive these non-cash perks, exactly as listed. The same list appears in every Sicomi message and page about founding perks.
- Founding Creator badge on your profile and title pages, shown for as long as Sicomi shows founding badges.
- A place on the Founding Creators page at sicomi.com, with your name, a link to your channel and one title.
- A direct line to the founder. Fortnightly 30-minute group office hours on video during the preview. Founder replies to
creators@within 2 business days. - A seat on the Founding Creator Council. One 45-minute call a month to shape Studio, the rules and Phase B. Your feedback is logged and you're told what happened to it. Being heard isn't the same as getting a vote, and we say so.
- Hand-picked placement. We plan to feature one title from each founding creator at least once in the preview's home rows, on a rota we publish. A title that is under review, paused or removed waits for the next open slot. This is a placement plan, not a promise of views or audience.
- Personal invites to share. Up to 5 viewer invites a week and 50 in total, each single-use and valid for 14 days.
- Early access to new Studio tools during the preview, before they reach other creators.
- Hands-on publishing help. One review of your poster, logline and first-episode cut by the Sicomi team before you publish, if you want it. This is feedback, not editing.
- First notice about paid launch. You'll get the proposed Phase B terms in writing at least 30 days before payments start. Whether to turn on fan subscriptions is your choice, made under a separate agreement. Nothing is charged or paid until you agree.
10.2 The perks have no cash value and cannot be exchanged for money, credits or a discount. They are not a promise of any rate, price or Phase B term, or of any number of views, plays, subscribers or audience size. Apart from the rota in perk 5, we decide what to feature and where. Perks 3, 4 and 8 depend on the founder's availability; if one has to pause, we will tell you by email. Perks end when the Preview ends, except the badge (perk 1) and the notice in perk 9.
11. Leaving and ending this agreement
11.1 You may remove any title, introduction video, Extra or item in Your Profile, or leave the Preview at any time in Studio or by emailing creators@sicomi.com.
11.2 We may end this agreement with 14 days' email notice for any reason, or at once under section 9 or if the Preview ends.
11.3 When this agreement ends, section 5.4 applies to Your Content.
11.4 These sections continue after the agreement ends: 4, 5.2, 5.4, 6, 9.3, 12, 13, 14 and 16.
12. Disclaimers
To the extent the law allows, the Preview is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Keep your own copies of Your Content; we are not a backup service. We do not promise any number of viewers, plays or audience.
13. Limits of liability
13.1 To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.
13.2 To the extent the law allows, Sicomi's total liability under this agreement is limited to the greater of US $100 or the amount we paid you under this agreement in the 12 months before the claim.
13.3 These limits do not apply to fraud, gross negligence, wilful misconduct, your obligations under section 14, or anything else that cannot be limited by law.
14. Your indemnity
If a third party makes a claim against Sicomi because a promise in section 6 was untrue, you will defend Sicomi and pay the resulting costs, losses and reasonable legal fees. This applies only to breaches of section 6, and for section 6.8 only where you knew, or should reasonably have known, that the item was untrue or not permitted, or you didn't correct it within 7 days of being told. We will tell you promptly about the claim, let you control the defence (we may join with our own lawyer at our cost), and not settle it in a way that admits fault for you without your consent.
15. Changes to this agreement
15.1 We may update this agreement. The "Last updated" date will change and we keep earlier versions available.
15.2 For a material change, we will email you at least 14 days before it takes effect, and you will be asked to accept the new version in Studio. If you do not accept, you may remove your titles and leave; until you accept, your titles stay under the version you last accepted, and you may not be able to publish new episodes.
16. General
16.1 Transfer. We may transfer this agreement, including the licence in section 5, to a company that controls, is controlled by or is under common control with 1984 Management Company Inc. (for example, a subsidiary formed to run Sicomi), or to a successor in a merger, acquisition or sale of all or part of the Sicomi business, on the same terms. The licence moves only with the Sicomi service and is never transferred on its own. We will tell you by email. You may not transfer this agreement without our written consent, except to a company you control that owns Your Content, with notice to us.
16.2 Relationship. You are an independent creator. This agreement does not create an employment, agency, partnership or joint-venture relationship. Sicomi is not your agent or manager and does not seek work on your behalf.
16.3 Governing law and disputes. California law governs this agreement, without regard to conflict-of-law rules. Please contact legal@sicomi.com first so we can try to resolve it within 30 days. After that, either party may bring a claim in small claims court, if it qualifies, or in the state or federal courts located in [COUNTY], California, and both parties accept those courts' jurisdiction. Either party may seek urgent court relief to protect intellectual property or safety.
16.4 Electronic acceptance. You accept this agreement by ticking the box above the "Send application" button on the application form, or the box in Studio. The application box is not ticked for you, and you cannot send the application until you tick it. It also records your statement that you are 18 or older and live in the United States and that you have read our Privacy Policy. We store, for each statement, the version of the document, the exact words shown to you, and the date and time (UTC) you ticked. Sections 2, 3, 15 and 16 (and the child-safety checks in 8.2 and 9.3, which also apply to your intro) apply from the moment you send your application; the rest of this agreement applies from the moment we accept you under section 3.1. That electronic acceptance is binding like a signature. We accept through an authorised officer or manager of 1984 Management Company Inc., doing business as Sicomi.
16.5 Whole agreement; severability; no waiver. This agreement and the documents it incorporates are the whole agreement about the Preview and replace earlier discussions about it, including any message that mentioned a rate. If a court finds part of it unenforceable, the rest applies. Not enforcing a right straight away does not waive it.
